This license is a source-available community license. It is not an OSI-approved
open source license.
1. Definitions
"Software" means the Treease software made available under this license,
including any accompanying source code, object code, documentation, and other
materials distributed with it.
"Licensor" means loggerhead.
"You" means an individual or legal entity exercising permissions under this
license.
"Derivative Works" means any work based upon or derived from the Software,
including modifications, adaptations, translations, or other revisions, to the
extent permitted by applicable law.
"Non-Commercial Use" means use of the Software solely for personal use,
education, academic research, open source project development, use by a
non-profit organization, or internal evaluation, testing, or proof-of-concept
work that is not part of a commercial offering, commercial operation, or
revenue-generating service.
"Commercial Use" means use of the Software or any Derivative Works to offer,
support, enable, or operate a product, service, hosted offering, API, paid
feature, or other activity primarily intended for commercial advantage or
monetary compensation, including use in connection with commercial operations.
Commercial Use does not include Non-Commercial Use.
"Annual Revenue" means the total annual gross revenue of the legal entity using
the Software, measured on a consolidated entity basis.
2. License Grant for Non-Commercial Use
Subject to the terms of this license, the Licensor grants You a worldwide,
non-exclusive, non-transferable, revocable, royalty-free license to use, copy,
modify, create Derivative Works of, and distribute the Software, solely for
Non-Commercial Use.
3. Commercial Use
If Your Annual Revenue is less than or equal to USD 100,000, You may use, copy,
modify, create Derivative Works of, and distribute the Software for Commercial
Use, subject to this license.
If Your Annual Revenue exceeds USD 100,000, no license is granted to You for
Commercial Use unless You first obtain prior written authorization from the
Licensor.
Requests for commercial authorization under this Section must be sent to
lloggerhead@gmail.com.
4. Redistribution
You may distribute the Software or Derivative Works only if:
a. You provide a copy of this license with the distributed Software or
Derivative Works; and
b. any recipient receives the Software or Derivative Works subject to this same
license.
5. Restrictions
You may not use the Software except as expressly permitted by this license.
If Your use does not qualify as Non-Commercial Use, and You do not qualify for
Commercial Use under Section 3, then You have no right to use the Software for
that purpose.
This license does not grant You any trademark rights in the name "Treease" or
the names, logos, or branding of the Licensor, except as necessary to identify
the origin of the Software in an accurate and non-misleading manner.
6. Termination
If You fail to comply with this license, Your rights under this license
terminate automatically.
If the violation is capable of cure, Your rights under this license will be
reinstated automatically if You come into full compliance within 30 days after
You become aware of the violation.
If the violation is not cured within that 30-day period, or if the violation is
not capable of cure, Your rights under this license remain terminated unless the
Licensor expressly reinstates them in writing.
7. Disclaimer of Warranty
THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR
IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS
FOR A PARTICULAR PURPOSE, TITLE, AND NONINFRINGEMENT.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE
LICENSOR BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY, WHETHER IN AN
ACTION OF CONTRACT, TORT, OR OTHERWISE, ARISING FROM, OUT OF, OR IN CONNECTION
WITH THE SOFTWARE OR THE USE OF OR OTHER DEALINGS IN THE SOFTWARE.
