# PROPRIETARY SOFTWARE LICENSE AGREEMENT

## 1. OWNERSHIP
This software and associated documentation files (the "Software") are proprietary property of Aerun Serviços de Tecnologia LTDA ("Aerun") and its successors. All intellectual property rights, including but not limited to copyrights, patents, trade secrets, and trademarks, remain exclusively with Aerun.
## 2. GRANT OF LICENSE
By contracting Aerun for development services, the Client is granted a perpetual, non-exclusive, non-transferable license to use the specific version of the Software delivered "as-is" at the time of delivery, subject to the following conditions:
### 2.1 Permitted Use
- The Client may use the Software solely for their internal business operations
- The Client may modify the Software for their own use, at their own risk and responsibility
- The Client retains access to the source code for the delivered version
### 2.2 Restrictions
- The Client may NOT use the Software, or any portion thereof, in other projects without specific licensing
- The Client may NOT distribute, sell, lease, rent, lend, or sublicense the Software
- The Client may NOT transfer this license to any third party
- The Client may NOT use the Software as a basis for creating derivative works for commercial distribution
## 3. ADDITIONAL LICENSING
Use of the Software in new projects, different contexts, or by other entities requires specific licensing agreements. Aerun offers:
### 3.1 Project Licensing
- Specific licenses for using the Software in new projects
- Licensing for new versions of the Software
- Multi-project or enterprise licensing agreements
### 3.2 Service Agreements
- Maintenance and support contracts
- Custom development services that include implicit licensing
- Software evolution and feature development
## 4. MODIFICATIONS AND SUPPORT
- The Client may modify the Software at their own risk
- Aerun is not responsible for any modifications made by the Client
- Support and maintenance for Client modifications are not included unless specifically contracted
- Official updates and support are available through separate service agreements
## 5. WARRANTY DISCLAIMER
THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. IN NO EVENT SHALL AERUN BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY ARISING FROM THE USE OF THE SOFTWARE.
Development and support contracts may include their own warranty terms and service level agreements, which shall supersede this standard disclaimer for the scope and duration specified in such contracts.
## 6. TERMINATION
This license is perpetual for the delivered version but may be terminated if the Client violates any terms of this agreement. Upon termination, the Client must cease all use of the Software and destroy all copies.
## 7. GOVERNING LAW
This Agreement shall be governed by the laws of Brazil, and any disputes shall be resolved in the courts of the jurisdiction where Aerun is headquartered.
