**Chuck E Cheese Software License Agreement**

**IMPORTANT**: This Chuck Coin Software License Agreement (the “Agreement”) is a legal contract between you (the “User”) and Chuck E. Cheese (“Chuck E. Cheese” or “Licensor”). By downloading, installing, or using the Chuck Coin software (the “Software”) or any services associated with Chuck Coin (the “Services”), you agree to comply with and be bound by the terms of this Agreement.

### 1. LICENSE GRANT
Chuck E. Cheese hereby grants the User a limited, non-exclusive, non-transferable, revocable license to use the Chuck Coin Software and Services exclusively for the purpose of conducting transactions at Chuck E. Cheese establishments and authorized franchises (the “Authorized Use”). The User shall not use Chuck Coin for any purpose outside of the Authorized Use without the express written consent of Chuck E. Cheese All rights not expressly granted herein are reserved.
### 2. AUTHORIZED USE AND RESTRICTIONS
The User acknowledges and agrees that:
- **Exclusive Use**: Chuck Coin is intended solely for facilitating purchases, services, and any other transactions strictly within Chuck E. Cheese locations and authorized platforms. Any attempt to use Chuck Coin for transactions at other businesses, establishments, or for personal exchanges is strictly prohibited.
- **In-Person Transactions Only**: The User agrees that Chuck Coin will only be utilized for in-person transactions at authorized Chuck E. Cheese locations, and will not be valid for online or remote purchasing unless specifically authorized by Chuck E. Cheese
- **No Exchange for Cash**: Chuck Coin holds no intrinsic value outside of Authorized Use and cannot be exchanged for cash or any other form of currency. The User acknowledges that purchases made with Chuck Coin are final and may not be refunded or exchanged for cash value.
- **Product and Service Limitations**: Chuck Coin can only be used to acquire goods, services, and experiences offered by Chuck E. Cheese. This includes but is not limited to food, beverages, merchandise, game tokens, and party packages. The User shall not use Chuck Coin for any non-Chuck E. Cheese products or services.
### 3. USER OBLIGATIONS
The User agrees to:
- **Account Security**: Protect the confidentiality of any account information related to Chuck Coin. The User shall notify Chuck E. Cheese immediately if there is any suspicion of unauthorized use of their account.
- **Compliance with Law**: Adhere to all applicable federal, state, and local laws and regulations in connection with the use of Chuck E. Cheeseuding but not limited to laws related to digital currencies and consumer transactions.
### 4. TERMINATION AND SUSPENSION
Chuck E. Cheese reserves the right to terminate or suspend this Agreement and the User's access to the Software and Services at any time, without notice, for any violation of this Agreement or for any other reason deemed necessary by Chuck E. Cheese Upon termination of this Agreement, the User must cease all use of Chuck Coin and destroy any copies of the Software.
### 5. LIMITATION OF LIABILITY
In no event shall Chuck E. Cheese, its officers, directors, employees, or agents be liable to the User or any third party for any indirect, incidental, special, consequential, or punitive damages arising from the use of, or inability to use, Chuck E. Cheeseuding but not limited to loss of revenue, profits, or data, whether in an action in contract, tort (including but not limited to negligence), or otherwise, even if Chuck E. Cheese has been advised of the possibility of such damages.
### 6. DISCLAIMER OF WARRANTIES
The Software and Services are provided on an “as-is” and “as-available” basis. Chuck E. Cheese makes no warranties, express or implied, regarding the reliability, availability, or performance of Chuck Coin or its transactions. The User uses the Software and Services at their own risk.
### 7. GOVERNING LAW
This Agreement and the User’s use of Chuck Coin shall be governed by and construed in accordance with the laws of the state of the United States, without regard to its conflict of law principles. Any disputes arising from this Agreement will be resolved in the state or federal courts located in [Insert Jurisdiction], and the User consents to the exclusive jurisdiction of such courts.
### 8. AMENDMENTS
Chuck E. Cheese reserves the right to modify or amend this Agreement at any time without prior notice. The User will be informed of any changes by notifications posted on the Chuck Coin official website or through other direct communications. Continued use of Chuck Coin after such modifications constitutes acceptance of the new terms.
### 9. ENTIRE AGREEMENT
This Agreement represents the entire understanding between the User and Chuck E. Cheese regarding the use of the Software and Services and supersedes all prior discussions, agreements, and understandings, whether written or oral, relating to the subject matter herein.
### 10. SEVERABILITY
If any provision of this Agreement is found to be unenforceable or invalid by a court of law, the remaining provisions shall remain in full force and effect, and the invalid provision shall be interpreted to be valid to the fullest extent possible.
